- บุคคลทั้งหลายซึ่งเปนกรรมการของบริษัทจำกัด จะรับผิดโดยไม่จำกัดก็ได้ ถ้ากรณีเปนเช่นนั้นไซร้ ท่านว่าต้องจดแถลงความรับผิดเช่นนั้นลงไว้ในหนังสือบริคณห์สนธิด้วย
