* บันดาหนังสือชี้ชวน หนังสือบอกกล่าวป่าวร้อง ฤๅหนังสืออย่างอื่นซึ่งชวนให้บุคคลภายนอกเข้าชื่อซื้อหุ้นใหม่นั้น กรรมการทั้งหลายต้องลงลายมือชื่อ และลงวัน แล้วนำไปจดทะเบียนก่อนแล้วจึงโฆษณา
* หนังสือเช่นกล่าวมานั้น ต้องมีรายการเหล่านี้ คือ
** (๑) ชื่อ อาชีวะ และสำนัก ทั้งของกรราการและของผู้สอบบาญชีทั้งหลาย
** (๒) ข้อความในหนังสือบริคณห์สนธิ
** (๓) ทุนของบริษัทที่ได้ทะเบียนแล้ว จำแนกให้ปรากฏจำนวนหุ้นสามัญ และหุ้นบุริมะสิทธิ และหุ้นที่ใช้ค่าแล้วด้วยอย่างอื่นนอกจากที่ใช้เปนตัวเงิน
** (๔) ยอดจำนวนที่ได้ใช้ตัวเงินเข้าในทุน
** (๕) ใจความของงบดุลฉบับหลังสุด แสดงสินทรัพย์และหนี้สินของบริษัท
** (๖) จำนวนหุ้นซึ่งจะออกใหม่มากน้อยเท่าใด เปนจำนวนเงินเท่าใด และวัดถุที่ประสงค์ซึ่งออกหุ้นใหม่นั้น เพื่อการอันใด
** (๗) เงินค่าหุ้นซึ่งจะต้องส่งใช้เมื่อขอซื้อนั้นหุ้นละเท่าใด อนึ่งเงินจำนวนซึ่งจะต้องใช้เช่นนั้น ท่านมิให้กำหนดน้อยกว่าร้อยละยีสิบห้าแห่งมูลค่าของหุ้นที่ตั้งไว้

* [I] Every prospectus, notice, advertisement or other invitation to third persons to subscribe for new shares must be dated and signed by the directors and registered before publication.
