มาตรา 1098

• หนังสือบริคณห์สนธินั้น ท่านบังคับให้มีข้อความซึ่งกล่าวต่อไปนี้ คือ
  • (๑) ชื่อบริษัทอันคิดจะตั้งขึ้น ซึ่งต้องมีคำว่า "จำกัด" ไว้ปลายชื่อนั้นด้วยเสมอไป
  • (๒) ที่สำนักงารของบริษัทซึ่งบอกทะเบียนนั้นจะตั้งอยู่ ณ ที่ใดในพระราชอาณาเขต
  • (๓) วัตถุที่ประสงค์ทั้งหลายของบริษัท
  • (๔) ถ้อยคำสำแดงว่าความรับผิดของผู้ถือหุ้นจะมีจำกัด
  • (๕) จำนวนทุนเรือนหุ้นซึ่งบริษัทคิดกำหนดจะจดทะเบียนแบ่งออกเปนหุ้นมีมูลค่ากำหนดหุ้นละเท่าไร
  • (๖) ชื่อ สำนัก อาชีวะ และลายมือชื่อของบันดาผู้เริ่มก่อการ ทั้งจำนวนหุ้นซึ่งต่างคนต่างเข้าชื่อซื้อไว้คนละเท่าใด

Section 1098. (Final Draft of Dec. 1924 in English from Vol.88)

• The memorandum must contain the following particulars:
  • (1) The name of the proposed company, which must always end with the word "limited".
  • (2) The part of the Kingdom in which the registered office of the company shall be situated.
  • (3) The objects of the company,
  • (4) A declaration that the liability of the shareholders shall be limited.
  • (5) The amount of share capital with which the company proposes to be registered, and the divisions thereof into shares of a fixed amount.
  • (6) The names, addresses, occupations and signatures of the promoters, and the number of shares subscribed by each of them.
