มาตรา 1108

• กิจการอันจะพึงทำในที่ประชุมตั้งบริษัทนั้น คือ
  • (๑) ทำความตกลงตั้งข้อบังคับต่าง ๆ ของบริษัท
  • (๒) ให้สัตยาบันแก่บันดาสัญญาซึ่งผู้เริ่มก่อการได้ทำไว้ และค่าใช้จ่ายอย่างหนึ่งอย่างใดซึ่งเขาต้องออกไปในการเริ่มก่อบริษัท
  • (๓) วางกำหนดจำนวนเงินซึ่งจะให้แก่ผู้เริ่มก่อการ ถ้าหากมีเจตนาว่าจะให้
  • (๔) วางกำหนดจำนวนหุ้นบุริมะสิทธิ ทั้งกำหนดสภาพและบุริมะสิทธิิแห่งหุ้นนั้น ๆ ว่าเปนสถานใดเพียงใด ถ้าหากจะมีหุ้นเช่นนั้นในบริษัท
  • (๕) วางกำหนดจำนวนหุ้นสามัญ ฤๅหุ้นบุริมะสิทธิซึ่งออกให้เหมือนหนึ่งว่าได้ใช้เต็มค่าแล้ว ฤๅได้ใช้แต่บางส่วนแล้ว เพราะใช้ให้ด้วยอย่างอื่นนอกจากตัวเงิน และกำหนดว่าเพียงใดซึ่งจะถือว่าเอาเปนว่าได้ใช้เงินแล้ว ถ้าหากจะมีหุ้นเช่นนั้นในบริษัท
  • ให้แถลงในที่ประชุมโดยเฉภาะว่า ซึ่งจะออกหุ้นสามัญฤๅหุ้นบุริมะสิทธิให้เหมือนหนึ่งว่าได้ใช้เงินแล้วเช่นนั้น เพื่อแทนคุณแรงงาร ฤๅตอบแทนทรัพย์สินอย่างใด ให้พรรณนาจงชัดเจนทุกประการ
  • (๖) เลือกตั้งกรรมการและพนักงานสอบบาญชีอันเปนชุดแรกของบริษัท และวางกำหนดอำนาจของคนเหล่านี้ด้วย

• The business to be transacted at the statutory meeting is:
  • (1) The adoption of the regulations of the company, if any.
  • (2) The ratification of any contracts entered into and any expenses incurred by the promoters in promoting the company:
  • (3) The fixing of the amount, if any, to be paid to the promoters.
  • (4) The fixing of the number of preference shares, if any are to be issued, and the nature and extent of the preferential rights accruing to them.
  • (5) The fixing of the number of ordinary shares or preference shares to be allotted as fully or partly paid up otherwise than in money, if any, and the amount up to which they shall be considered as paid up.
  • The description of the services or property in return for which such ordinary shares or preference shares shall be allotted as paid up shall be expressly laid down before the meting.
  • (6) The appointment of the first directors and auditors and the fixing of their respective powers.
