มาตรา 1206
- กรรมการต้องจัดให้ถือบาญชีซึ่งกล่าวต่อไปนี้ไว้ให้ถูกถ้วนจริง ๆ คือ
- (๑) จำนวนเงินที่บริษัทได้รับและได้จ่าย ทั้งรายการอันเปนเหตุให้รับฤๅจ่ายเงินทุกรายไป
- (๒) สินทรัพย์และหนี้สินของบริษัท

- The directors must cause true accounts to be kept:
- (1) Of the sums received and expended by the company and of the matters in respect of which each receipt or expenditure takes place.
- (2) Of the assets and liabilities of the company.
