มาตรา 315
- อันการชำระหนี้นั้น ต้องทำให้แก่ตัวเจ้าหนี้หรือแก่บุคคลผู้มีอำนาจรับชำระหนี้แทนเจ้าหนี้ การชำระหนี้ทำให้แก่บุคคลผู้ไม่มีอำนาจรับชำระหนี้นั้น ถ้าเจ้าหนี้ให้สัตยาบันก็นับว่าสมบูรณ์

- Performance must be made to the creditor or a person having authority to receive performance on his behalf. A performance made to a person who has no authority to receive is valid if the creditor ratifies it.

The most plausible model for this section would be;
- French Civil Code (1804), Art.1239;
- [I] The payment must be made to the creditor or to some one having authority from him, or who shall be authorised by the court or by the law to receive, for him.
- [II] Payment made to one who shall not have authority to receive for the creditor, is valid, if the latter ratify it or if he have profited thereby.
