มาตรา 1101
- บุคคลทั้งหลายซึ่งเปนกรรมการของบริษัทจำกัด จะรับผิดโดยไม่จำกัดก็ได้ ถ้ากรณีเปนเช่นนั้นไซร้ ท่านว่าต้องจดแถลงความรับผิดเช่นนั้นลงไว้ในหนังสือบริคณห์สนธิด้วย
- อันความรับผิดโดยไม่ต้องจำกัดของผู้เปนกรรมการนั้น ย่อมถึงที่สุดเมื่อล่วงเวลาสองปีนับแต่วันที่ตัวเขาออกจากตำแหน่งกรรมการ

- [I] The liability of the directors of a limited company may be unlimited. In such case, a statement to that effect must be inserted in the memorandum.
- [II] The unlimited liability of a director terminates at the expiration of two years after the date at which he ceased to hold office.
