มาตรา 1064
- อันห้างหุ้นส่วนสามัญนั้น จะจดทะเบียนก็ได้ การจดทะเบียนนั้น ท่านบังคับให้มีรายการดังนี้ คือ
- (๑) ชื่อห้างหุ้นส่วน
- (๒) วัตถุที่ประสงค์ของห้างหุ้นส่วน
- (๓) ที่ตั้งสำนักงารแห่งใหญ่ และสาขาทั้งปวง
- (๔) ชื่อและที่สำนัก กับทั้งอาชีวะของผู้เปนหุ้นส่วนทุก ๆ คน ถ้าผู้เปนหุ้นส่วนคนใดมีชื่อยี่ห้อ ก็ให้ลงทะเบียนทั้งชื่อและยี่ห้อด้วย
- (๕) ชื่อหุ้นส่วนผู้จัดการ ในเมื่อได้ตั้งแต่งให้เปนผู้จัดการแต่เพียงบางคน
- (๖) ถ้ามีข้อจำกัดอำนาจของหุ้นส่วนผู้จัดการประการใด ให้ลงไว้ด้วย
- (๗) ตราซึ่งใช้เปนสำคัญของห้างหุ้นส่วน
- ข้อความซึ่งลงทะเบียนนั้น จะลงรายการอื่น ๆ อีกอันคู่สัญญาเห็นสมควรจะให้ประชาชนทราบด้วยก็ได้
- การลงทะเบียนนั้น ต้องลงลายมือชื่อของผู้เปนหุ้นส่วนทุกคน และต้องประทับตราของห้างหุ้นส่วนนั้นด้วย
- ให้พนักงานทะเบียนทำใบสำคัญแสดงการจดทะเบียนส่งมอบให้แก่ห้างหุ้นส่วนนั้นฉบับหนึ่ง
Section 1064. (Final Draft of Dec. 1924 in English from Vol.88)
- [I] An ordinary partnership may be registered.
- [II] The entry in the register must contain the following particulars:
- (1) The firm name of the partnership.
- (2) Its object.
- (3) The address of the principal business office and of all branch offices.
- (4) The full names, addresses and occupations of every partner: if a partner has a trade name the entry in the register must contain his name and his trade name.
- (5) The names of the managing partners, in case fewer than all of the partners have been appointed as such.
- (6) The restrictions, if any, imposed upon the powers of the managing partners.
- (7) The seal or seals which are binding on the partnership.
- [III] The entry may contain any other particulars which the parties may deem expedient to make known to the public.
- [IV] The entry must be signed by every member of the partnership, and must also be sealed with the common seal of the partnership.
- [V] A certificate of registration shall be delivered to the partnership.
