มาตรา 1170
- เมื่อการซึ่งกรรมการคนใดได้ทำไปได้รับอนุมัติของที่ประชุมใหญ่แล้ว ท่านว่ากรรมการคนนั้นไม่ต้องรับผิดในการนั้นต่อผู้ถือหุ้นซึ่งได้ให้อนุมัติฤๅต่อบริษัทอีกต่อไป
- ท่านห้ามมิให้ผู้ถือหุ้นซึ่งมิได้ให้อนุมัติด้วยนั้นฟ้องคดี เมื่อพ้นเวลาหกเดือนนับแต่วันที่ประชุมใหญ่ให้อนุมัติแก่การเช่นว่านั้น

- [I] When the acts of a director have been approved by a general meeting, such director is no longer liable for the said acts to the shareholders who have approved them, or to the company.
- [II] Shareholders who did not approve of such acts cannot enter their action later than six months after the date of the general meeting in which such acts were approved.
