มาตรา 80
- ในการอันใด ถ้าประโยชน์ทางได้ทางเสียของนีติบุคคลฝ่ายหนึ่ง กับของตัวผู้จัดการอีกฝ่ายหนึ่งเป็นปฏิปักข์แก่กัน ท่านว่าในการอันนั้นผู้จัดการเป็นอันไม่มีอำนาจเป็นผู้แทนได้ ในกรณีเช่นนี้ ต้องตั้งแต่งผู้แทนขึ้นฉะเพาะการนั้นตามบทบัญญัติมาตราก่อนนี้

- In a matter in which the interests of a juristic person conflict with those of a manager, the latter has no representative power. In such case a special representative must be appointed according to the provisions of the foregoing section.
