มาตรา 1123

• ถ้าผู้ถือหุ้นคนใดละเลยไม่ส่งใช้เงินที่เรียกค่าหุ้นตามวันกำหนด กรรมการจะส่งคำบอกกล่าวด้วยจดหมายส่งลงทะเบียนไปรษณีย์ไปยังผู้นั้น ให้ส่งใช้เงินที่เรียกกับทั้งดอกเบี้ยด้วยก็ได้
• ในคำบอกกล่าวอันนี้ ให้กำหนดเวลาไปพอสมควร เพื่อให้ใช้เงินที่เรียกกับทั้งดอกเบี้ย และต้องบอกไปด้วยว่าให้ส่งใช้ ณ สถานที่ใด อนึ่ง ในคำบอกกล่าวนั้น จะแจ้งไปด้วยก็ได้ว่าถ้าไม่ใช้เงินตามเรียก บริษัทอาจจะริบเอาหุ้นนั้นเสีย

• [I] If a shareholder fails to pay a call on the day fixed for payment thereof, the directors may give him notice by registered letter to pay such call with interest.
• [II] The notice must fix a reasonable time within which such call and interest must be paid. It must also fix the place where payment must be made. The notice may also state that in the case of non-payment the share in respect of which such call was made may be forfeited by the company.
