มาตรา 399
- ผู้จัดการต้องบอกกล่าวแก่ตัวการโดยเร็วที่สุดที่จะทำได้ว่าตนได้เข้าจัดการงานแทน และต้องรอฟังคำวินิจฉัยของตัวการ เว้นแต่ภัยจะมีขึ้นเพราะการที่หน่วงเนิ่นไว้ นอกจากนี้ท่านให้นำบทบัญญัติแห่งมาตรา ๘๐๙ ถึง ๘๑๑ อันบังคับแก่ตัวแทนนั้นมาใช้บังคับแก่หน้าที่ของผู้จัดการด้วยโดยอนุโลม

- The manager shall notify to the principal, as soon as practicable, the undertaking of the management of the affair, and await his decision, unless there is danger in delay. For the rest the provisions of Sections 809 to 811 applicable to an agent apply mutatis mutandis to the obligation of the manager.

The most plausible model for this section would be:
- German Civil Code (1896), Sec.681;
- The agent shall notify to the principal, as soon as practicable, the undertaking of the management of the affair, and await his decision, unless there is danger in delay. For the rest the provisions of 666 to 668 applicable to a mandatary apply mutatis mutandis to the obligations of the agent.
