มาตรา 1152

• ในเมื่อมีการประชุมสามัญครั้งแรกภายหลังแต่จดทะเบียนบริษัทก็ดี และในเมื่อมีการประชุมสามัญครั้งแรกในปีทุก ๆ ปีต่อไปก็ดี ผู้เปนกรรมการต้องออกจากตำแหน่งโดยจำนวนหนึ่งในสามเปนอัตรา ถ้าและจำนวนกรรมการจะแบ่งออกให้ตรงเปนส่วนสามไม่ได้ ให้ออกโดยจำนวนใกล้ที่สุดกับส่วนหนึ่งในสาม

• At the first ordinary meeting after the registration of the company and at the first ordinary meeting in every subsequent year one-third of the directors, or, if their number is not a multiple of three, then the number nearest to one-third must retire from office.
