มาตรา 1236
- อันบริษัทจำกัดย่อมเลิกกันด้วยเหตุดังจะกล่าวต่อไปนี้ คือ
- (๑) ถ้าในข้อบังคับของบริษัทมีกำหนดกรณีอันใดเปนเหตุที่จะเลิกกัน เมื่อมีกรณีนั้น
- (๒) ถ้าบริษัทได้ตั้งขึ้นไว้เฉภาะกำหนดกาละใด เมื่อสิ้นกำหนดกาละนั้น
- (๓) ถ้าบริษัทได้ตั้งขึ้นเฉภาะเพื่อทำกิจการอย่างหนึ่งอย่างใดแต่อย่างเดียว เมื่อเสร็จการนั้น
- (๔) เมื่อมีมติพิเศษให้เลิก
- (๕) เมื่อบริษัทล้มละลาย

- A limited company is dissolved:
- (1) In the cases, if any, provided by its regulations.
- (2) If formed for a period of time, by the expiration of such period.
- (3) If formed for a single undertaking, by the termination of that undertaking.
- (4) By a special resolution to dissolve.
- (5) By the company becoming bankrupt.
