มาตรา 1257

• ผู้ชำระบาญชีซึ่งมิใช่เปนขึ้นเพราะศาลตั้งนั้น ท่านว่าจะถอนเสียจากตำแหน่ง และตั้งผู้อื่นแทนที่ก็ได้ ในเมื่อผู้เปนหุ้นส่วนทั้งหลายออกเสียงเปนน้ำหนึ่งใจเดียวกัน ฤๅที่ประชุมใหญ่ของผู้ถือหุ้นได้ลงมติดังนั้น แต่ศาลย่อมสั่งถอนผู้ชำระบาญชีจากตำแหน่งและตั้งผู้อื่นแทนที่ได้ ไม่เลือกว่าจะเปนผู้ชำระบาญชีซึ่งศาลตั้งฤๅมิใช่ศาลตั้ง ในเมื่อมีคำร้องขอของผู้เปนหุ้นส่วนในห้างคนใดคนหนึ่งฤๅของผู้ถือหุ้นในบริษัทมีหุ้นรวมกันนับได้ถึงหนึ่งในยี่สิบแห่งทุนของบริษัทโดยจำนวนที่ส่งใช้เงินเข้าทุนแล้วนั้น

• Liquidators not appointed by the Court may be removed and superseded by a unanimous vote of the partners or by a general meeting of the shareholders. Liquidators, whether appointed by the Court or not, may be removed and superseded by the Court on the request of one of the partners or of the shareholders representing one-twentieth part of the paid up capital of the company.
