มาตรา 355
- บุคคลทำคำเสนอไปยังผู้อื่นซึ่งอยู่ห่างกันโดยระยะทาง และมิได้บ่งระยะเวลาให้ทำคำสนอง จะถอนคำเสนอของตนเสียภายในเวลาอันควรคาดหมายว่าจะได้รับคำบอกกล่าวสนองนั้น ท่านว่าหาอาจจะถอนได้ไม่

- A person who, without specifying a period for acceptance, makes an offer to another at a distance cannot withdraw his offer within a time which notice of acceptance might reasonably be expected.

The most plausible model for this section would be:
- Japanese Civil Code (1896/98), Art.524;
- An offer made to a person at a distance without fixing a period of time for acceptance thereof, cannot be withdrawn for such a period of time as is reasonably necessary for the offerer to receive notice of acceptance.
