มาตรา 1078
- อันห้างหุ้นส่วนจำกัดนั้น ท่านบังคับว่าต้องจดทะเบียน
- การลงทะเบียนนั้น ต้องมีรายการดังต่อไปนี้ คือ
- (๑) ชื่อห้างหุ้นส่วน
- (๒) ข้อแถลงความว่าเปนห้างหุ้นส่วนจำกัด และวัตถุที่ประสงค์ของห้างหุ้นส่วนนั้น
- (๓) ที่ตั้งสำนักงารแห่งใหญ่ และสำนักงารสาขาทั้งปวง
- (๔) ชื่อ ยี่ห้อ สำนัก และอาชีวะของผู้เปนหุ้นส่วนจำพวกจำกัดความรับผิด และจำนวนเงินซึ่งเขาเหล่านั้นได้ลงหุ้นด้วยในห้างหุ้นส่วน
- (๕) ชื่อ ยี่ห้อ สำนัก และอาชีวะของผู้เปนหุ้นส่วนจำพวกไม่จำกัดความรับผิด
- (๖) ชื่อหุ้นส่วนผู้จัดการ
- (๗) ถ้ามีข้อจำกัดอำนาจหุ้นส่วนผู้จัดการอันจะผูกพันห้างหุ้นส่วนนั้นประการใด ให้ลงไว้ด้วย
- ข้อความซึ่งลงทะเบียนนั้น จะลงรายการอื่น ๆ อีกอันคู่สัญญาเห็นสมควรจะให้ประชาชนทราบด้วยก็ได้
- การลงทะเบียนนั้น ต้องลงลายมือชื่อของผู้เปนหุ้นส่วนทุกคน และต้องประทับตราของห้างหุ้นส่วนนั้นด้วย
- ให้พนักงานทะเบียนทำใบสำคัญแสดงการจดทะเบียนส่งมอบให้แก่ห้างหุ้นส่วนนั้นฉบับหนึ่ง

- [I] A limited partnership must be registered.
- [II] The entry in the register must contain the following particulars:
- (1) The firm name of the partnership.
- (2) A statement that the partnership is a limited partnership, and the object of such partnership
- (3) The address of the principal business office and of all branch offices.
- (4) The full names, trade names, addresses and occupations of the partners with limited liability, and the amount of their respective contributions of the partnership.
- (5) The full names, trade names, addresses and occupations of the partners with unlimited liability.
- (6) The names of the managing partners.
- (7) The restrictions, if any, imposed upon the powers of the managing partners to bind the partnership.
- [III] The entry may contain any other particulars which the parties may deem expedient to make known to the public.
- [IV] The entry must be signed by every member of the partnership, and must also be sealed with the common seal of the partnership.
- [V] A certificate of registration shall be delivered to the partnership.
