มาตรา 1086
- ข้อซึ่งตกลงกันในระวางผู้เปนหุ้นส่วนทั้งหลาย เพื่อจะเปลี่ยนแปลงประเภททรัพย์สินที่ลงหุ้น ฤๅเพื่อจะลดจำนวนลงหุ้นแห่งผู้เปนหุ้นส่วนจำพวกจำกัดความรับผิดคนหนึ่งคนใดนั้น ท่านว่ายังไม่เปนผลแก่บุคคลภายนอกจนกว่าจะได้จดทะเบียน
- เมื่อได้จดทะเบียนแล้วไซร้ ข้อตกลงนั้น ๆ ก็ย่อมมีผลแต่เพียงเฉภาะแก่หนี้อันห้างหุ้นส่วนได้ก่อให้เกิดขึ้นภายหลังเวลาที่ได้จดทะเบียนแล้วเท่านั้น

- [I] Agreements entered into between the partners for altering the nature or reducing the amount of the contribution of a partner with limited liability have no effect as regards third persons until registered.
- [II] When registered, they have effect only as to obligations incurred by the partnership after their registration.
