มาตรา 1161

• ข้อปรึกษาซึ่งเกิดเปนปัญหาในที่ประชุมกรรมการนั้น ให้ชี้ขาดตัดสินเอาเสียงข้างมากเปนใหญ่ ถ้าและคะแนนเสียงเท่ากัน ให้ผู้เปนประธานเปนผู้ออกเสียงชี้ขาด

• Questions arising at any meeting of directors are decided by a majority of votes; in case of an equality of votes the chairman has a casting vote.
