มาตรา 1191
- ในการลงมติในที่ประชุมใหญ่ใด ๆ ถ้าไม่มีผู้ถือหุ้นสองคนเปนอย่างน้อยติดใจขอให้ลงคะแนนเสียงไซร้ ท่านให้ถือว่าการที่ผู้เปนประธานแสดงว่า ที่ประชุมได้ลงมติอันใด และจดลงไว้ในสมุดรายงารประชุมของบริษัทนั้น เปนหลักฐานฟังได้ว่าได้มีมติอันนั้นแล้วจริง

- At any general meeting, unless a poll be demanded by at least two shareholders, a declaration by the chairman that a resolution has been passed and an entry to that effect in the books of the company shall be sufficient evidence of the fact.
