มาตรา 309
- การโอนหนี้อันพึงต้องชำระตามเขาสั่งนั้น ท่านว่าจะยกขึ้นเป็นข้อต่อสู้ลูกหนี้ หรือบุคคลภายนอกคนอื่นได้แต่เฉพาะเมื่อการโอนนั้นได้สลักหลังไว้ในตราสาร และตัวตราสารนั้นได้ส่งมอบให้แก่ผู้รับโอนไปด้วย

- The transfer of an obligation performable to order can be set up against the debtor or other third person only if the transfer is endorsed on the instrument, and the instrument itself is delivered to the transferee.

The most plausible model for this section would be;
- Japanese Civil Code (1896/98), Art.469;
- The assignment of an obligation performable to order cannot be set up against the debtor or third persons unless the fact of assignment has been endorsed on the instrument and the latter itself has been delivered to the assignee.
