มาตรา 1166
- บันดาการซึ่งกรรมการคนหนึ่งได้ทำไป แม้ในภายหลังความปรากฏว่าการตั้งแต่งกรรมการคนนั้นมีข้อบกพร่องอยู่บ้างก็ดี ฤๅเปนผู้บกพร่องด้วยองค์คุณควรแก่ตำแหน่งกรรมการก็ดี ท่านว่าการที่ได้ทำนั้นย่อมสมบูรณ์เสมือนดังว่าบุคคลผู้นั้นได้รับการแต่งตั้งโดยถูกต้อง และบริบูรณ์ด้วยองค์คุณของกรรมการ

- All acts done by a director shall, notwithstanding that it be afterwards discovered that there was some defect in his appointment, or that he was disqualified, be as valid as if such person had been duly appointed and was qualified to be a director.
