มาตรา 1197
- งบดุลนั้น ต้องจัดให้มีผู้สอบบาญชีคนหนึ่งฤๅหลายคนตรวจสอบ แล้วนำเสนอเพื่ออนุมัติในที่ประชุมใหญ่ภายในสี่เดือนนับแต่วันที่ลงในงบดุลนั้น
- อนึ่ง ให้ส่งสำเนางบดุลไปยังบุคคลทุกคนบันดามีชื่อในทะเบียนผู้ถือหุ้นของบริษัทแต่ก่อนวันนัดประชุมใหญ่ล่วงหน้าไม่น้อยกว่าสามวัน
- นอกจากนั้น ให้มีสำเนางบดุลเปิดเผยไว้ในสำนักงารของบริษัทในระวางเวลาเช่นว่านั้น เพื่อให้ผู้ทรงใบหุ้นชนิดออกให้แก่ผู้ถือนั้นตรวจดูได้ด้วย

- [I] The balance-sheet must be examined by one or more auditors and submitted for adoption to a general meeting within four months after its date.
- [II] A copy of it must be sent to every person entered in the register of shareholders at least three days before the general meeting.
- [III] Copies must also be kept open at the offices of the company during the same period for inspection by the holders of certificates to bearer.
