มาตรา 1203
- ถ้าจ่ายเงินปันผลฤๅดอกเบี้ยไป โดยฝ่าฝืนต่อความในมาตราทั้งสองซึ่งกล่าวมาไซร้ เจ้าหนี้ทั้งหลายของบริษัทชอบที่จะเรียกเอาเงินจำนวนซึ่งได้แจกไปคืนมายังบริษัทได้ แต่ว่าถ้าผู้ถือหุ้นคนใดได้รับเงินปันผลฤๅดอกเบี้ยไปแล้วโดยสุจริต ท่านว่าจะกลับบังคับให้เขาจำคืนนั้นหาได้ไม่

- If dividends or interest have been paid contrary to the provisions of the last two preceding Sections, the creditors of the company are entitled to have the amount so distributed returned to the company, provided that a shareholder cannot be obliged to return dividend or interest which he has received in good faith.
