จำนวนเงินที่จะออกหุ้นกู้นั้น ท่านมิให้เกินจำนวนเงินอันได้ส่งใช้เข้าในทุนของบริษัทแล้ว
ถ้าบาญชีงบดุลครั้งที่สุดแสดงจำนวนสินทรัพย์ว่าลดน้อยลงไปกว่าจำนวนเงินอันได้ส่งใช้เข้าในทุนของบริษัทแล้วไซร้ ท่านมิให้กำหนดจำนวนเงินที่จะออกหุ้นกู้ ให้เกินไปกว่าจำนวนราคาสินทรัพย์นั้น

[I] The total amount of debentures may not exceed the amount which has been paid up on the capital.
[II] If the latest balance-sheet shows the amount of the assets to be less than the amount which has been paid up on the capital, the total amount of debentures may not exceed the amount represented by the assets.
