มาตรา 305
- เมื่อโอนสิทธิเรียกร้องไป สิทธิจำนองหรือจำนำที่มีอยู่เกี่ยวพันกับสิทธิเรียกร้องนั้นก็ดี สิทธิอันเกิดขึ้นแต่การค้ำประกันที่ให้ไว้เพื่อสิทธิเรียกร้องนั้นก็ดี ย่อมตกไปได้แก่ผู้รับโอนด้วย
- อนึ่ง ผู้รับโอนจะใช้บุริมสุทธิใดๆ ที่ตนมีอยู่เกี่ยวด้วยสิทธิเรียกร้อง ในกรณีบังคับยึดทรัพย์หรือล้มละลายนั้นก็ได้

- [I] With the transferred claim the rights of mortgage or pledge existing on its account and the rights arising from a suretyship established for it, pass to the transferee.
- [II] The transferee may also enforce any preferential right connected with the claim in case of compulsory execution or bankruptcy.

The most plausible model for this section would be;
- German Civil Code (1896), Sec.401;
- [I] With the assigned claim the rights of hypotheca or pledge existing on its account and the rights arising from a suretyship established for it, pass to the assignee.
- [II] The assignee may also enforce any right of preference connected with the claim in case of compulsory execution or bankruptcy.

- [I] Mit der Forderung gehen die Vorzugs- und Nebenrechte über, mit Ausnahme derer, die untrennbar mit der Person des Abtretenden verknüpft sind.
- [II] Der Abtretende ist verpflichtet, dem Erwerber die Schuldurkunde und alle vorhandenen Beweismittel auszuliefern und ihm die zur Geltendmachung der Forderung nötigen Aufschlüsse zu erteilen.
- [III] Es wird vermutet, dass mit der Hauptforderung auch die rückständigen Zinse auf den Erwerber übergehen.
