มาตรา 351
- ถ้าหนี้อันจะพึงเกิดขึ้นเพราะแปลงหนี้ใหม่นั้นมิได้เกิดขึ้นก็ดี ได้ยกเลิกเสียเพราะมูลแห่งหนี้ไม่ชอบด้วยกฎหมาย หรือเพราะเหตุอย่างใดอย่างหนึ่งอันมิรู้ถึงคู่กรณีก็ดี ท่านว่าหนี้เดิมนั้นก็ยังหาระงับสิ้นไปไม่

- If the obligation resulting from a novation does not come into existence, or is annulled, because of an illegality in its ground or because of some reason unknown to the parties, the original obligation is not extinguished.

The most plausible model for this section would be:
- Japanese Civil Code (1896/98), Art.517;
- If the obligation resulting from a novation does not come into existence, or is annulled owing to an illegal origin (ground) , or to a reason unknown to the parties concerned, the old (original) obligation is not extinguished.
