มาตรา 356

• คำเสนอทำแก่บุคคลผู้อยู่เฉพาะหน้า โดยมิได้บ่งระยะเวลาให้ทำคำสนองนั้น เสนอ ณ ที่ใดเวลาใดก็ย่อมจะสนองรับได้แต่ ณ ที่นั้นเวลานั้น ความข้อนี้ท่านให้ใช้ตลอดถึงการที่บุคคลคนหนึ่งทำคำเสนอไปยังบุคคลอีกคนหนึ่งทางโทรศัพท์ด้วย

• An offer made to a person who is present without specifying a period for acceptance may be accepted only there and then. This applies also to an offer made by one person to another on the telephone.

This section would be a compound provision from two different models as follows:

• [Primary model] German Civil Code (1896), Sec.147;
  • [I] An offer made to a person who is present may be accepted only there and then. This applies also to an offer made by one person to another on the telephone.
  • [II] An offer made to a person who is not present may be accepted only before the moment when the offerer may expect to receive an answer under ordinary circumstances.
• [Secondary model] Schweizerisches Obligationenrecht (1911), Art.4;
  • [I] Wird der Antrag ohne Bestimmung einer Frist an einen Anwesenden gestellt und nicht sogleich angenommen, so ist der Antragsteller nicht weiter gebunden.
  • [II] Wenn die Vertragschließenden oder ihre Bevollmächtigten sich persönlich des Telephons bedienen, so gilt der Vertrag als unter Anwesenden abgeschlossen.
