มาตรา 1128
- ในใบหุ้นทุก ๆ ใบ ท่านให้กรรมการลงลายมือชื่อเองคนหนึ่งเปนอย่างน้อย และประทับตราของบริษัทเปนสำคัญ
- ในใบหุ้นนั้นต้องมีข้อความต่อไปนี้ คือ
- (๑) ชื่อบริษัท
- (๒) เลขหมายหุ้นที่กล่าวถึงในใบหุ้นนั้น
- (๓) มูลค่าหุ้นหนึ่งเปนเงินเท่าใด
- (๔) ถ้าและเปนหุ้นที่ยังไม่ได้ใช้เงินเสร็จ ให้จดลงว่าได้ใช้เงินค่าหุ้นแล้วหุ้นละเท่าใด
- (๕) ชื่อผู้ถือหุ้น ฤๅคำแถลงว่าได้ออกใบหุ้นนั้นให้แก่ผู้ถือ

- [I] Every certificate of shares shall be signed by one of the directors at least, and shall bear the seal of the company.
- [II] It must contain the following particulars:
- (1) The name of the company.
- (2) The numbers of the shares to which it applies.
- (3) The amount of each share.
- (4) In case the shares are not fully paid up, the amount paid on each share.
- (5) The name of the shareholder or a statement that the certificate is to bearer.
