มาตรา 1155
- ถ้าตำแหน่งว่างลงในสภากรรมการโดยมิใช้เพราะเหตุอื่นนอกจากถึงคราวออกตามเวรไซร้ ท่านว่ากรรมการทั้งหลายจะเลือกผู้อื่นตั้งขึ้นใหม่ให้เต็มที่ว่างก็ได้ แต่บุคคลที่ได้เปนกรรมการใหม่เช่นนั้น ให้มีเวลาอยู่ในตำแหน่งได้เพียงเท่ากำหนดเวลาที่กรรมการผู้ออกไปนั้นชอบที่จะอยู่ได้

- Any vacancy occurring in the board of directors otherwise than by rotation may be filled up by the directors, but any person so appointed shall retain his office during such time only as the vacating director was entitled to retain the same.
