- แปลงหนี้ใหม่ด้วยเปลี่ยนตัวลูกหนี้นั้น จะทำเป็นสัญญาระหว่างเจ้าหนี้กับลูกหนี้คนใหม่ก็ได้ แต่จะทำโดยขืนใจลูกหนี้เดิมหาได้ไม่
