- ถ้าประโยชน์ได้เสียของนิติบุคคลขัดกับประโยชน์ได้เสียของผู้แทนของนิติบุคคลในการอันใด ผู้แทนของนิติบุคคลนั้นจะเป็นผู้แทนในการอันนั้นไม่ได้
