มาตรา 1084
- ห้ามมิให้แบ่งเงินปันผลฤๅดอกเบี้ยให้แก่ผู้เปนหุ้นส่วนจำพวกจำกัดความรับผิด นอกจากผลกำไรซึ่งห้างหุ้นส่วนทำมาค้าได้
- ถ้าทุนของห้างหุ้นส่วนลดน้อยลงไปเพราะค้าขายขาดทุน ท่านห้ามมิให้แบ่งเงินปันผลฤๅดอกเบี้ยให้แก่ผู้เปนหุ้นส่วนจำพวกจำกัดความรับผิด จนกว่าทุนซึ่งขาดไปนั้นจะได้คืนมาเต็มจำนวนเดิม
- แต่ถ้าผู้เปนหุ้นส่วนจำพวกจำกัดความรับผิดคนใด ได้รับเงินปันผลฤๅดอกเบี้ยไปแล้วโดยสุจริต ท่านว่าหาอาจจะบังคับให้เขาคืนเงินนั้นได้ไม่

- [I] No dividend or interest may be distributed to partners with limited liability except out of the profits made by the partnership.
- [II] If the capital of the partnership has been reduced by losses, no dividend or interest may be distributed to partners with limited liability until the said losses have been made good.
- [III] Provided that a partner with limited liability cannot be obliged to return the dividend or interest which he has received in good faith.
