มาตรา 1139
- สมุดทะเบียนผู้ถือหุ้นเริ่มแต่วันจดทะเบียนบริษัทนั้น ให้รักษาไว้ ณ สำนักงารของบริษัทแห่งที่ได้บอกทะเบียนไว้ สมุดทะเบียนนี้ให้เปิดให้แก่ผู้ถือหุ้นทั้งหลายดูได้ในระวางเวลาทำการโดยไม่เรียกค่าธรรมเนียมอย่างหนึ่งอย่างใด แต่กรรมการจะจำกัดเวลาลงไว้อย่างไรพอสมควรก็ได้ หากไม่น้อยกว่าวันละสองชั่วโมง
- ให้เปนน่าที่ของกรรมการที่จะส่งสำเนาบาญชีรายชื่อผู้ที่ยังคงเปนผู้ถือหุ้นอยู่ทั้งหมดในเวลาที่ประชุม และรายชื่อผู้ที่ขาดจากเปนผู้ถือหุ้นจำเดิมแต่วันประชุมสามัญครั้งที่แล้วมานั้น ไปยังนายทะเบียนอย่างน้อยปีละครั้ง และมิให้ช้ากว่าวันที่สิบสี่นับแต่การประชุมสามัญ บาญชีรายชื่อนี้ให้มีรายการบันดาที่ระบุไว้ในมาตราก่อนนั้นทุกประการ

- [I] The register of shareholders commencing from the date of the registration of the company shall be kept at the registered office of the company.
- [II] It shall be gratuitously open to inspection by the shareholders, during the business hours, subject to such reasonable restriction as the directors may impose, but not less than two hours a day.
- [III] It shall be the duty of the directors to send once at least in every year to the Registrar, and not later than on the fourteenth day after the ordinary meeting, a copy of the list of all persons who are shareholders at the time of such meeting and of those who have ceased to be shareholders since the date of the last ordinary meeting. Such list shall include all the particulars specified in the foregoing section.
