มาตรา 1153
- ตัวกรรมการที่จะต้องออกจากตำแหน่งในปีแรก และปีที่สองภายหลังจดทะเบียนบริษัทนั้น ถ้ากรรมการมิได้ตกลงกันไว้เองเปนวิธีอื่นไซร้ ก็ให้จับสลากกัน ส่วนปีหลัง ๆ ต่อไปให้ กรรมการคนที่ได้อยู่ในตำแหน่งนานที่สุดนั้นเปนผู้ต้องออก
- กรรมการผู้ออกไปนั้น จะเลือกเข้ารับตำแหน่งอีกก็ได้

- [I] Unless otherwise agreed by the directors between themselves, the directors to retire during the first and second years following the registration of the company shall be drawn by lots. In every subsequent year the directors who have been longest in office shall retire.
- [II] A retiring director is eligible for re-election.
