มาตรา 1164
- กรรมการทั้งปวงจะมอบอำนาจอย่างหนึ่งอย่างใดของตนให้แก่กรรมการด้วยกันบางคนให้สมมตให้เปนผู้จัดการ ฤๅเปนอนุกรรมการก็ได้ ในการใช้อำนาจซึ่งได้รับมอบหมายเช่นนั้น ผู้จัดการฤๅอนุกรรมการทุกคนต้องทำตามคำสั่งฤๅข้อบังคับซึ่งกรรมการทั้งหลายได้กำหนดให้ทุกอย่างทุกประการ

- The directors may delegate any of their powers to managers or to committees consisting of members of their body. Every manager or committee shall, in the exercise of the power so delegated, conform to any order or regulations that may be imposed on them by the directors.
