มาตรา 397
- ถ้าผู้จัดการทำกิจอันใดซึ่งเป็นหน้าที่บังคับให้ตัวการทำเพื่อสาธารณประโยชน์ก็ดี หรือเป็นหน้าที่ตามกฎหมายที่จะบำรุงรักษาผู้อื่นก็ดี และหากผู้จัดการมิได้เข้าทำแล้ว กิจอันนั้นจะไม่สำเร็จภายในเวลาอันควรไซร้ การที่ได้ทำขัดกับความประสงค์ของตัวการเช่นนั้น ท่านมิให้ยกขึ้นเป็นข้อวินิจฉัย

- The fact that the management of the affair is opposed to the wishes of the principal is not taken into consideration if, without the management of the affair, a duty of the principal the fulfilment of which is of public interest or a legal duty to furnish maintenance to others by the principal would not be fulfilled in due time.

The most plausible model for this section would be:
- German Civil Code (1896), Sec.679;
- The fact that the management of the affair is opposed to the wishes of the principal is not taken into consideration if, without the management of the affair, a duty of the principal the fulfilment of which is of public interest or a statutory duty to furnish maintenance to others by the principal would not be fulfilled in due time.
