มาตรา 1077
- อันห้างหุ้นส่วนจำกัดนั้น คือ ห้างหุ้นส่วนประเภทหนึ่ง ซึ่งมีผู้เปนหุ้นส่วนสองจำพวก ดังจะกล่าวต่อไปนี้ คือ
- (๑) ผู้เปนหุ้นส่วนคนเดียวฤๅหลายคน ซึ่งมีจำกัดความรับผิดเพียงไม่เกินจำนวนเงินที่ตนรับจะลงหุ้นในห้างหุ้นส่วนนั้นจำพวกหนึ่ง และ
- (๒) ผู้เปนหุ้นส่วนคนเดียวฤๅหลายคน ซึ่งต้องรับผิดร่วมกันในบันดาหนี้ของห้างหุ้นส่วน ไม่มีจำกัดจำนวนอีกจำพวกหนึ่ง

- A limited partnership is that kind of partnership in which there are:
- (1) One or more partners whose liability is limited to such amount as they may respectively undertake to contribute to the partnership, and
- (2) One or more partners who are jointly and unlimitedly liable for all the obligation of the partnership.
