มาตรา 1187
- ผู้ถือหุ้นทุกคนจะมอบฉันทะให้ผู้อื่นออกเสียงแทนตนก็ได้ แต่การมอบฉันทะเช่นนี้ต้องทำเปนหนังสือ
- ผู้รับฉันทะจะต้องเปนผู้ถือหุ้นอยู่ด้วย

- [I] Any shareholder may vote by proxy, provided the power given to such proxy is in writing.
- [II] The proxy must be a shareholder.
